Welcome to Repurpose Exchange. These Buyer Terms & Conditions explain how buying works on our marketplace. We’ve written them in plain language so they’re easy to understand — no law degree required.

By placing an order through Repurpose Exchange, you agree to these terms. If something doesn’t make sense, just reach out — we’re happy to clarify.

1. Who We Are

Repurpose Exchange is an online marketplace operated by Repurpose Exchange, LLC, a Wyoming limited liability company registered to do business in California and a subsidiary of Repurpose Group, Inc. We facilitate the resale of used, refurbished, and surplus solar panels and related equipment. Our mission is to keep quality solar materials in circulation and out of landfills.

We are a marketplace facilitator, not the seller of the equipment. Repurpose Exchange connects sellers (individuals, businesses, and organizations looking to offload solar inventory) with buyers (installers, contractors, developers, and others). Unless a listing or written agreement expressly states that Repurpose Exchange is the seller, the seller of record is the independent third party that listed the equipment. We review and approve listings, process payment, and help coordinate the transaction, but the sale contract is between you and the seller.

2. Who Can Buy

You may use Repurpose Exchange to purchase equipment if you:

  • Are at least 18 years old;
  • Are authorized to enter into a legal agreement (on your own behalf or on behalf of your company); and
  • Provide accurate information when creating an account or placing an order.

We reserve the right to decline or cancel transactions if we believe an account has provided false information or is being used inappropriately.

3. Product Listings & Descriptions

Most products listed on Repurpose Exchange are previously used, surplus, or refurbished unless explicitly stated otherwise. Here’s what you can expect:

  • Listings may include solar panels/modules, string and micro-inverters, racking and mounting systems, batteries and storage, transformers and electrical, and other balance-of-system (BOS) components.
  • Photos are representative of the lot condition, but individual items may vary slightly.
  • Listings are created by sellers and approved by Repurpose Exchange. While we make reasonable efforts to review listings, the seller is responsible for the accuracy of its listing, and minor cosmetic discrepancies (scratches, frame scuffs, etc.) are normal for used equipment.

Condition Grades: Brand New, Like New, Used – Good, Used – Fair, Damaged, and For Parts Only.

4. Pricing & Payment

Prices are in U.S. dollars. Here’s how payment works:

  • Full payment is required to confirm your order.
  • Payments are processed securely through Stripe. We accept major credit and debit cards. Any applicable processing fee will be shown at checkout before you pay.
  • Prices are subject to change at any time before an order is confirmed. Once your order is confirmed and payment is received, your price is locked in for that order.
  • Sales tax may apply depending on your location and the nature of your purchase, and will be calculated at checkout.

5. Orders & Confirmation

Placing an order on Repurpose Exchange works like this:

  • You select the product and quantity and submit your order with payment.
  • Your order is not final until you receive a written Order Confirmation from Repurpose Exchange by email.
  • We reserve the right to cancel or modify an order if inventory is no longer available, if there was a pricing or listing error, or if we are unable to verify payment.
  • If an order is cancelled by Repurpose Exchange or the seller before fulfillment, you will receive a full refund of any payment made for that order.

Tip: Check your spam folder if you don’t see your confirmation email within a few hours.

6. Shipping & Pickup

Logistics matter. Here’s what you need to know:

  • Unless otherwise arranged, the buyer is responsible for arranging freight pickup or delivery.
  • Repurpose Exchange can connect you with freight carriers we work with, but the shipping contract and costs are between you and the carrier.
  • Equipment must be picked up or shipped within 14 days of Order Confirmation unless a different timeline is agreed in writing.
  • Risk of loss and damage transfers to the buyer once the product is loaded onto the carrier or leaves the seller’s facility.
  • For large orders, we strongly recommend freight insurance — we can help point you toward options.

7. Returns & Refunds

Because the marketplace deals mainly in used equipment and logistics are coordinated among multiple parties, our return policy is as follows:

  • All sales are final once the product has been accepted and shipped, unless there was a material misrepresentation in the listing.
  • We do not accept returns for change of mind, incorrect quantity ordered, or issues arising from the buyer’s installation or use.
  • If you believe a listing materially misrepresented the equipment, you must notify us within 5 business days of delivery so we can review the claim (see Section 9, Disputes).

8. Warranties & Product Condition

Used and surplus solar equipment is sold as-is unless a warranty is specifically noted in the listing. Here’s what that means:

  • Neither Repurpose Exchange nor the seller guarantees ongoing panel performance, power output, or longevity beyond what is stated in the listing.
  • Original manufacturer warranties, if any remain active, are the buyer’s to pursue directly with the manufacturer. We do not transfer or extend manufacturer warranties.
  • Equipment is sold for re-use, resale, or recycling. It is the buyer’s responsibility to ensure equipment meets applicable codes and standards for its intended use.

9. Disputes & Resolution

Repurpose Exchange facilitates transactions but is not a party to the sale contract between buyers and sellers. That said, we’re here to help if something goes sideways:

  • Contact us first at info@repurposeexchange.com within 5 business days of delivery if the product materially differs from the listing. We’ll do our best to mediate and find a fair resolution.
  • We may request documentation from both you and the seller, and may facilitate a partial or full refund where a listing misrepresentation is substantiated.
  • If a dispute cannot be resolved informally, the binding-arbitration provision in Section 12 applies.

10. Limitation of Liability

We’ve tried to write this section in plain English too. In short:

  • Repurpose Exchange is a facilitator and is not responsible for how equipment performs after purchase, or for issues arising from the buyer’s installation, use, or resale of the product.
  • To the maximum extent permitted by law, Repurpose Exchange’s total liability for any claim related to a transaction is limited to the amount of fees Repurpose Exchange earned on that specific transaction.
  • We are not liable for indirect, incidental, or consequential damages (such as lost profits or project delays), even if we were aware of the possibility.

Nothing in these terms limits any rights you may have under applicable consumer-protection laws, which we fully respect.

11. Privacy

Information you share with Repurpose Exchange is handled in accordance with our Privacy Policy, available at repurposeexchange.com/privacy. We do not sell your personal information.

12. Governing Law & Binding Arbitration

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.

Binding Arbitration. Any dispute arising out of or relating to these terms or a transaction on the Platform that cannot be resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Orange County, California, or by videoconference, and judgment on the award may be entered in any court of competent jurisdiction.

Class-Action & Jury Waiver. You and Repurpose Exchange agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding. You and Repurpose Exchange waive any right to a jury trial.

Injunctive Relief. Either party may seek injunctive or equitable relief in a court located in Orange County, California to prevent irreparable harm while arbitration is pending.

30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice to info@repurposeexchange.com within 30 days of first accepting these terms. Opting out will not affect any other provision of these terms.

13. Changes to These Terms

We may update these Buyer Terms & Conditions from time to time. When we do, we’ll update the “Last Updated” date above. If the changes are significant, we’ll notify you by email or through a notice on the Platform. Continued use of Repurpose Exchange after changes take effect means you accept the updated terms.
