Seller Terms & Conditions

Thank you for choosing to sell through Repurpose Exchange. These Seller Terms & Conditions govern your use of our platform as a seller. They’re written to be straightforward — we want you to know exactly what’s expected and what you can expect from us.
By registering as a seller or listing any product on Repurpose Exchange, you agree to these terms. If you have questions before getting started, just reach out — we’d rather answer them upfront.
1. About Repurpose Exchange
Repurpose Exchange is an online marketplace operated by Repurpose Exchange, LLC, a Wyoming limited liability company registered to do business in California and a subsidiary of Repurpose Group, Inc. We facilitate the resale of used, refurbished, and surplus solar panels and related equipment. We provide the platform, the audience, and the transaction infrastructure — you provide the inventory.
We are a facilitator, not a buyer. Repurpose Exchange connects you with buyers; we are not purchasing your inventory ourselves unless a separate written agreement says otherwise.
2. Seller Eligibility & Account Approval
Not everyone can list on Repurpose Exchange — and that’s intentional. We maintain quality standards to protect buyers and the integrity of the marketplace. To sell on our platform, you must:
- Be a business entity or individual with legal authority to sell the inventory you list;
- Provide accurate business information, including legal name, contact details, and tax identification; and
- Agree to these Seller Terms & Conditions in full.
Approval Process: We review all seller applications before granting access. Approval is at our sole discretion. We may ask for documentation such as proof of ownership, business license, or chain-of-custody records for the inventory you intend to sell.
3. What You Can List
Repurpose Exchange is specifically for solar panels and related solar equipment. Approved product categories include:
- Used, surplus, and refurbished solar panels (any wattage or brand);
- Solar inverters and related power electronics;
- Mounting hardware and racking systems;
- Solar batteries and energy-storage components (subject to additional approval); and
- Other solar energy equipment — contact us to confirm eligibility before listing.
You may NOT list:
- Products you do not own or have explicit legal authority to sell;
- Stolen, misappropriated, or encumbered inventory;
- Items with fraudulent or altered specifications;
- Hazardous materials that are not properly disclosed; or
- Non-solar products unless pre-approved by Repurpose Exchange in writing.

4. Listing Standards & Accuracy
Accurate listings are the foundation of a trustworthy marketplace. When you create a listing, you are responsible for ensuring it is complete and truthful. Every listing must include:
- Panel brand, model, and wattage (or equivalent specs for other equipment);
- Quantity available;
- Condition grade — Brand New, Like New, Used – Good, Used – Fair, Damaged, or For Parts Only (see our Condition Guide);
- Known defects, damage, or issues that would affect a buyer’s decision;
- Location of inventory (city/state is sufficient; exact address is not required until sale); and
- Clear, representative photos of the actual inventory.
You may not misrepresent equipment output, condition, or specifications; use photos that don’t reflect the actual inventory; list inventory that isn’t physically available and ready for pickup or shipment; or create duplicate listings for the same inventory.
Important: If you discover an error in your listing after it goes live, update it immediately and notify us. If a sale occurs based on inaccurate information, you may be responsible for resolution costs, including buyer refunds.
5. Inventory Availability & Commitment
When you list inventory on Repurpose Exchange, you are representing that it is available for sale. This means:
- The inventory exists, is in your possession or control, and is ready to sell;
- You have not committed the same inventory to another buyer through another channel;
- Once an order is confirmed, you must hold that inventory for the buyer and make it available within the agreed timeframe; and
- If you need to withdraw a listing, do so before an order is placed — cancelling a confirmed sale reflects poorly on your seller account and may result in penalties.
Repurpose Exchange takes seller reliability seriously. Repeated cancellations or inventory-availability issues may result in suspension of your selling privileges.
6. Platform Fees & Payouts
Selling on Repurpose Exchange is free to start — you only pay when you make a sale. Here’s how it works:
- Repurpose Exchange charges a platform fee on each completed transaction. Your applicable fee rate will be disclosed during onboarding and confirmed in your seller agreement.
- The platform fee is calculated as a percentage of the final sale price, excluding any separately itemized shipping costs.
- Fees are deducted automatically from your payout — you receive the net amount.
- Payouts are issued within 2 business days after Repurpose Exchange receives the corresponding settled funds from its payment processor (Stripe) for a completed transaction, typically following confirmed delivery or buyer acceptance. Because payment-processor settlement and bank-deposit timing are outside our control, the payout clock begins when funds are settled and available to us, not at the moment of the buyer’s payment.
- Payouts are made via ACH bank transfer to your verified bank account on file.
- Repurpose Exchange may hold or delay a payout if there is an open dispute, chargeback, or fraud review related to that transaction.
Fee Changes: We’ll give you at least 30 days’ written notice before changing the platform fee rate for existing sellers.
7. Fulfillment & Logistics
Once a sale is confirmed, you are responsible for making the product available as agreed. Specifically:
- You must make inventory available for buyer pickup or carrier loading within the timeframe confirmed in the order (typically within 5 business days unless otherwise agreed);
- Product must be reasonably packaged or palletized to prevent damage during transport;
- You are responsible for accurately communicating the pickup address, access requirements, and any site-specific logistics to the buyer or their carrier; and
- If the buyer arranges freight, you agree to cooperate with the carrier and accommodate reasonable pickup scheduling.
Delays in fulfillment that cause buyer cancellations or added freight costs may be charged back to your seller account.
8. Buyer Inspections
Buyers have the right to inspect inventory at the time of pickup. You agree to allow the buyer (or their authorized representative) to inspect the product before loading, not to obstruct or discourage inspection, and to cooperate in good faith if a buyer identifies a discrepancy between the listing and the actual product.
If a buyer raises a concern at inspection, contact us immediately at info@repurposeexchange.com. Do not release the product until we’ve helped facilitate a resolution. Releasing product over a buyer’s documented objection may affect your ability to dispute any resulting refund request.
9. Disputes & Returns
We hope every transaction goes smoothly. When they don’t, here’s how we handle it:
- Buyers may submit a dispute within 5 business days of delivery if the product materially differs from the listing;
- Repurpose Exchange will review the claim and may request documentation from both parties;
- If a listing misrepresentation is substantiated, you as the seller may be required to issue a partial or full refund, cover return shipping costs, or both;
- Repurpose Exchange’s determination in disputes is final for purposes of payout release; and
- Repeated or egregious misrepresentation may result in account suspension and recovery of platform costs from any pending payouts.
Our goal: We’re not here to penalize good-faith sellers. If something goes wrong and you act in good faith to resolve it, we’ll work with you. These protections exist for bad actors, not honest mistakes.
10. Representations & Warranties
By listing and selling on Repurpose Exchange, you represent and warrant that:
- You have full legal right and authority to sell the listed inventory;
- The inventory is free and clear of liens, encumbrances, or third-party claims;
- All product descriptions, specifications, and photos are accurate and not misleading;
- You have disclosed all known material defects;
- The sale does not violate any law, regulation, or third-party agreement; and
- You are not a sanctioned individual or entity, and the inventory is not subject to export restrictions.
11. Indemnification
You agree to indemnify and hold harmless Repurpose Exchange, LLC, its parent Repurpose Group, Inc., and their respective officers, employees, and agents from any claims, losses, damages, or costs (including legal fees) arising from:
- Your breach of these Seller Terms;
- Inaccurate or misleading product listings;
- Your failure to fulfill a confirmed order; or
- Any third-party claim related to the ownership, condition, or sale of your inventory.
In plain terms: if a problem originates on your end, we shouldn’t be the ones paying for it.
12. Intellectual Property & Branding
When you list on Repurpose Exchange, you grant us a limited, non-exclusive license to use your listing content (photos, descriptions, specs) to display, promote, and facilitate the sale of your inventory on our platform and in our marketing materials.
You retain ownership of your content. We will not sell or license it to third parties for unrelated purposes. You may not use the Repurpose Exchange or Repurpose Group name, logo, or branding in your own marketing without our prior written approval.
13. Confidentiality
In the course of working together, you may have access to non-public information about Repurpose Exchange’s pricing, buyer relationships, platform operations, or business strategies. You agree to keep that information confidential and not use it for any purpose other than completing your transactions on our platform. This obligation survives the termination of your seller account.
14. Account Suspension & Termination
We reserve the right to suspend or terminate a seller account at any time. Grounds for suspension or termination include (but are not limited to) repeated listing inaccuracies or misrepresentation, failure to fulfill confirmed orders, fraudulent activity, violation of any provision of these Seller Terms, conduct that harms the reputation or operations of Repurpose Exchange, and non-payment of any amounts owed to Repurpose Exchange.
If your account is terminated for cause, any pending payouts may be held pending resolution of open disputes. If your account is terminated without cause, pending payouts for completed transactions will be released on the normal schedule. You may also close your seller account at any time by contacting us in writing at info@repurposeexchange.com. Closing your account does not release you from obligations related to active or recently completed transactions.
15. Non-Circumvention
When Repurpose Exchange introduces you to a buyer, that relationship originates through our platform. You agree that for a period of 12 months following a transaction, you will not directly transact with a buyer introduced through Repurpose Exchange in a way that bypasses the platform and avoids the platform fee.
This isn’t meant to prevent you from building lasting business relationships — it’s to ensure that the platform that made the introduction is compensated fairly for doing so.
16. Taxes
You are solely responsible for determining and remitting any taxes applicable to your sales, including sales tax, VAT, or income tax. Repurpose Exchange does not provide tax advice and is not responsible for collecting or remitting seller taxes unless required by law. We will provide you with transaction records to support your own reporting, and a Form 1099 will be issued where required by applicable law.
17. Limitation of Liability
To the maximum extent permitted by law, Repurpose Exchange’s liability to you as a seller is limited to the platform fees paid by you in the 12 months preceding the event giving rise to the claim. We are not liable for lost profits, indirect damages, or business interruption. We do not guarantee any volume of sales, buyer activity, or platform uptime, though we work hard on all three.
18. Governing Law & Binding Arbitration
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
Binding Arbitration. Any dispute arising out of or relating to these terms that cannot be resolved through good-faith negotiation will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Orange County, California, or by videoconference, and judgment on the award may be entered in any court of competent jurisdiction.
Class-Action & Jury Waiver. You and Repurpose Exchange agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding. You and Repurpose Exchange waive any right to a jury trial.
Injunctive Relief. Either party may seek injunctive or equitable relief in a court located in Orange County, California to prevent irreparable harm while arbitration is pending.
30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice to info@repurposeexchange.com within 30 days of first accepting these terms. Opting out will not affect any other provision of these terms.
19. Changes to These Terms
We may update these Seller Terms from time to time. We’ll notify you by email at least 30 days before any material changes take effect. If you continue selling on the platform after the effective date, you’ve accepted the updated terms. If you disagree with a change, you may close your seller account before the effective date without penalty.
20. The Whole Agreement
These Seller Terms, together with your Seller Onboarding Agreement and any order-specific confirmations, make up the entire agreement between you and Repurpose Exchange regarding your use of the platform as a seller. They supersede any prior conversations or informal understandings.
